PREAMBLE

These Terms and Conditions ("Agreement" or "Terms") constitute a legally binding agreement between HT Digital Streams Limited, a company incorporated under the laws of India, having its office at 5th Floor, Lotus Tower, A-Block, Community Centre, New Friends Colony, New Delhi, 110025 ("HTDSL", "We", "Us", "Our") and you, the user ("User", "You", "Your"), governing Your access to and use of the HTDSL website and associated services (collectively, the "Platform"). Our Platform is designed to act as an online intermediary, facilitating Your access to various financial products and services, including but not limited to loans, credit information reports, credit cards, insurance policies, and investment products, by connecting You with third-party financial institutions, service providers, and intermediaries ("Financial Institutions"). By accessing, registering for, or utilizing the Platform or any of its associated services ("Services"), You expressly acknowledge that You have read, understood, and unconditionally agree to be bound by all terms and conditions set forth in this Agreement, including any policies referenced herein, such as Our Privacy available at Privacy Policy our general Terms of Use available at Terms of Use – mint. This Agreement is paramount for Your engagement with Our Services. Visiting the Platform shall be deemed sufficient proof that You accept these Terms. IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN, YOU ARE STRICTLY PROHIBITED FROM ACCESSING OR USING THE PLATFORM. YOUR CONTINUED USE OF THE PLATFORM SIGNIFIES YOUR ACCEPTANCE OF THIS AGREEMENT. If You do not agree, We encourage You to stop accessing our Platform and Services immediately.

1. AGREEMENT AND ACCEPTANCE

  1. 1.1. This Agreement, along with the Privacy Policy and any other policies or guidelines incorporated herein by reference, constitutes the entire agreement between You and HTDSL regarding Your use of the Platform and Services.
  2. 1.2. By accessing or using the Platform, You affirm that You are at least 18 years of age or have reached the age of legal majority in Your jurisdiction, possess the legal capacity to enter into this Agreement, and agree to abide by these Terms. If You are accessing or using the Platform on behalf of an entity, You represent and warrant that You have the authority to bind that entity to this Agreement.
  3. 1.3. HTDSL reserves the right to modify, amend, or update this Agreement at any time, effective upon posting the revised terms on the Platform. Your continued use of the Platform after the posting of changes constitutes Your acceptance of the modified Agreement. It is Your responsibility to review this Agreement periodically for any updates. We will try to give You reasonable notice of any major changes. If You do not agree with the changes, You must not proceed to use the Platform or avail our Services.

2. PLATFORM AND SERVICES DESCRIPTION

  1. 2.1. HTDSL operates as an online intermediary platform. We do not provide financial products or services directly. Our role is to facilitate Your access to financial products and services offered by Financial Institutions.
  2. 2.2. The Platform may enable You to:
    1. Apply for loans, credit cards, and other financial products.
    2. Access Your credit information report.
    3. Explore and potentially apply for insurance policies.
    4. Discover and potentially invest in investment products.
  3. 2.3. HTDSL does not guarantee the approval of any application submitted through the Platform or the availability of any specific financial product or service. Approvals and terms are solely determined by the respective Financial Institutions.
  4. 2.4. We do not guarantee that our Platform, or any content on it, or our Services will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Platform or Services for business, legal, and operational reasons. We will try to give You reasonable notice of any such suspension or withdrawal. We shall not be liable for any such suspension or discontinuation.

3. USER ACKNOWLEDGEMENT AND CONSENT

  1. 3.1. By using the Platform, You expressly acknowledge and consent to:
    1. HTDSL acting as an intermediary to connect You with Financial Institutions.
    2. The collection, use, storage, and processing of Your personal and financial information by HTDSL and disclosure of such information to Financial Institutions (and Our business associates offering value-added services) as necessary to provide the Services (including tracking, organizing, and analyzing Your information to present suitable products), in accordance with Our Privacy Policy.
    3. Receiving communications from HTDSL, Financial Institutions, and/or Our business associates vide email, SMS, phone call, RCS, Push Notifications, WhatsApp or any other mode of communication regarding: (i) information relating to Services undertaken on/through the Platform; (ii) information about Us and the Services, including modifications; (iii) promotional offers and other value-added services; and (iv) any other matter in relation to the Services.

4. USER ACCOUNT AND REGISTRATION

  1. 4.1. To access certain Services, You may be required to create a user account ("User Profile"). You agree to provide accurate, current, and complete information during the registration process, including but not limited to your email address and phone number for authentication.
  2. 4.2. You are responsible for maintaining the confidentiality of Your account credentials and are fully responsible for all activities that occur under Your account. You agree to notify HTDSL immediately of any unauthorized use of Your account.
  3. 4.3. HTDSL reserves the right to suspend or terminate Your User Profile if any information provided is found to be inaccurate, untrue, incomplete, unreliable, fraudulent, or deficient, or if You violate any terms of this Agreement.

5. KNOW YOUR CUSTOMER (KYC) & INFORMATION VERIFICATION

  1. 5.1. You may be required to undertake certain know-your-customer ("KYC") processes with us or the Financial Institutions to avail Services.
  2. 5.2. In this regard, We may, under the instructions of Financial Institutions and on their behalf, require you to upload documents and information necessary for the Financial Institution to ascertain your eligibility ("KYC Documents").
  3. 5.3. Any processing that we undertake shall be in accordance with our Privacy Policy. You agree to share any additional information promptly upon request and authorise us to process such additional information in connection with the Services.
  4. 5.4. You agree and understand that Financial Institutions may seek your consent to access your KYC records from sources like Central Registry of Securitisation Asset Reconstruction and Security Interest ("CERSAI") and download the same for KYC purposes, and access your credit score to evaluate credibility.
  5. 5.5. You agree and warrant to provide true, complete, and up-to-date KYC Documents and additional information. If information provided appears unreliable, fraudulent, or deficient, You may be ineligible for Services, or Your Profile may be terminated, or sanctioned facilities cancelled by the Financial Institution.

6. USER RESPONSIBILITIES AND COVENANTS

  1. 6.1. You agree to use the Platform and Services only for lawful purposes and in accordance with this Agreement and applicable laws and regulations.
  2. 6.2. You are solely responsible for the accuracy, completeness, and truthfulness of all information You provide on the Platform. Should any information You provide change, you undertake to immediately bring such change to our notice. We do not accept responsibility for loss or damage if information provided is incorrect, incomplete, inaccurate, misleading, or if you fail to notify us of changes.
  3. 6.3. You shall not use the Platform to:
    1. Engage in any fraudulent, deceptive, or unlawful activity.
    2. Impersonate any person or entity.
    3. Upload, post, or transmit any content that is harmful, offensive, or infringes on the rights of others (including proprietary rights like copyrights, patents, trademarks).
    4. Introduce viruses, worms, trojan horses, timebombs, keystroke loggers, spyware, adware, or any other malicious code.
    5. Interfere with the proper functioning of the Platform.
    6. Copy, display, distribute, modify, publish, reproduce, store, transmit, post, translate, create derivative works from, or license the Services, except as permitted.
    7. Use any robot, spider, other automated device, or manual process to monitor or copy the Platform or Services.
    8. Engage in systematic retrieval of content to create or compile a collection, database, or directory.
    9. Use the Services in any unlawful manner or inconsistent with these Terms.
  4. 6.4. You agree to comply with all terms and conditions of the entities including Financial Institutions with whom You choose to engage through the Platform.
  5. 6.5. You shall extend all cooperation to us in our defence of any proceedings initiated against us due to your breach of obligations under these Terms.

7. INTELLECTUAL PROPERTY RIGHTS

  1. 7.1. All content on the Platform, including text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of HTDSL or its content suppliers and is protected by Indian and international copyright, trademark, and other intellectual property laws.
  2. 7.2. Subject to compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, royalty-free, revocable, and limited licence to use the Platform in accordance with these Terms.
  3. 7.3. You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform or Services for any commercial purpose without the express written consent of HTDSL. You must not use content for commercial purposes without a license. If you print, copy, or download information in breach of these Terms, your right to use our Platform will cease immediately, and you must return or destroy copies.
  4. 7.4. We may request Feedback. You acknowledge and expressly consent that We may freely use, copy, disclose, publish, display, distribute, and exploit the Feedback without payment, acknowledgement, consent, or restriction.
  5. 7.5. Except as stated, nothing in these Terms confers any right or license to our or any third-party's intellectual property rights.

8. THIRD-PARTY WEBSITES AND SERVICES

  1. 8.1. The Platform may contain links to or include services from third-party websites, financial institutions, and service providers ("Third-Party Services"). These links are provided for Your convenience only.
  2. 8.2. HTDSL does not endorse or make any representations about these third-party sites or services. Use of Third-Party Services is solely at your own risk. We make no representations and exclude all warranties and liabilities regarding Third-Party Services, including accuracy or completeness.
  3. 8.3. HTDSL is not responsible for the content, accuracy, or practices of any third-party websites or services linked from the Platform. Should you avail a Third-Party Service, you are governed by their terms and privacy policy. All intellectual property rights in Third-Party Services belong to the respective third parties.

9. DISCLAIMER OF WARRANTIES

  1. 9.1. THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
  2. 9.2. HTDSL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, SATISFACTORY QUALITY, ACCURACY.
  3. 9.3. HTDSL DOES NOT WARRANT THAT THE PLATFORM OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  4. 9.4. HTDSL DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE PLATFORM, INCLUDING INFORMATION PROVIDED BY FINANCIAL INSTITUTIONS.
  5. 9.5. ANY ADVICE OR INFORMATION OBTAINED FROM HTDSL THROUGH THE PLATFORM, WHETHER ORAL OR WRITTEN, WILL NOT CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.
  6. 9.6. HTDSL is not a financial institution and does not provide loans or Credit Facilities directly. Any Credit Facility is governed by terms between You and Financial Institutions; HTDSL is not a party nor liable for actions under such terms.
  7. 9.7. HTDSL and its directors, officers, employees, and agents are not responsible for rejection of Your application by Lenders. We are not obliged to inform You of reasons for refusal/rejection.
  8. 9.8. You accept full responsibility for consequences arising from Your use of the Platform and Services. HTDSL shall have absolutely no liability with respect to the same.

10. LIMITATION OF LIABILITY

  1. 10.1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HTDSL, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, CONTRACTORS, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, RELIANCE, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, LOST BUSINESS OPPORTUNITIES, LOST REVENUES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN rsCONNECTION WITH YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM OR SERVICES (including Third-Party Services), communications failure, theft, destruction or unauthorized access to records/infrastructure, or failure of services to remain operational, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF HTDSL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  2. 10.2. IN NO EVENT SHALL HTDSL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM OR SERVICES EXCEED THE AMOUNT PAID BY YOU TO HTDSL, IF ANY, DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM, OR INR 1000 (ONE THOUSAND INDIAN RUPEES), WHICHEVER IS LESSER.

11. INDEMNIFICATION

  1. 11.1. You agree to indemnify, defend (at HTDSL's option), and hold harmless HTDSL, its parent companies, subsidiaries, affiliates, directors, officers, employees, agents, licensors, associates successors, assigns, and representatives (collectively, the "HTDSL Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees), demands, lawsuits, judicial proceedings arising from or in connection with:
    1. Your access to or use of the Platform or Services.
    2. Your violation of this Agreement or any applicable laws or regulations.
    3. Your violation of any rights of a third party, including Financial Institutions.
    4. Any information or content You submit or transmit through the Platform.
    5. Acts, commissions or omissions, errors, misrepresentations, misconduct, negligence, fraud, forgery, dishonesty attributable to You or any third party using your account.
    6. Any inaccurate, untrue, incomplete, unreliable, fraudulent or deficient information or additional information provided by You or on your behalf.
    7. Any claim from any governmental or statutory authority or third party resulting from Your action or inaction.

12. CONSENT TO USE DATA AND PRIVACY

  1. 12.1. By using the Platform, You consent to the collection, use, storage, and processing of Your personal and financial information by HTDSL in accordance with Our Privacy Policy.
  2. 12.2. You agree that HTDSL may share Your information with Financial Institutions, CICs, affiliates, and other third parties as necessary to provide the Services (including sharing Transaction Information with affiliates and Lenders) and as described in Our Privacy Policy.
  3. 12.3. You represent and warrant that You have obtained all necessary consents and permissions from any third parties whose information You provide to HTDSL.
  4. 12.4. We may use aggregated and anonymised information and data pertaining to your use of the Services for analytics, trends identification, and purposes of statistics to further enhance effectiveness and efficiency, in accordance with our Privacy Policy.
  5. 12.5. You hereby consent to Lenders retrieving your credit score from credit information companies for evaluating eligibility and their respective terms & conditions and privacy policy. (Specific consent for Credit Information Services is detailed in Clause 22).

13. REGULATORY CHANGES

  1. 13.1. You acknowledge and agree that we may have to modify the Services or Platform to comply with applicable laws. As a result, you may be unable to access or use all or part of the Services/Platform. We shall not be liable to you for such inability pursuant to our compliance with applicable laws.

14. TERMINATION

  1. 14.1. HTDSL may terminate or suspend Your access to the Platform or Services, in whole or in part, at any time and for any reason, without prior notice or liability, including but not limited to Your breach of this Agreement, breach of applicable law, or upon request of authorities.
  2. 14.2. Upon termination, Your right to use the Platform and Services will immediately cease. You shall not be eligible to avail any features.
  3. 14.3. You may terminate this Agreement by discontinuing Your use of the Platform and deactivating Your User Profile.
  4. 14.4. Termination of Your User Profile does not affect Your obligations under any agreement entered into with a Financial Institution (e.g., loan repayment, credit card agreement, insurance policy, investment holdings) and You shall be continued to be governed by Our Privacy Policy.
  5. 14.5. Clauses 7 (Intellectual Property Rights), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 12 (Consent to Use Data and Privacy), 15 (Governing Law, Jurisdiction, and Dispute Resolution), 16 (Waiver and Severability), 17 (Entire Agreement), 18 (Assignment), 19 (Force Majeure), 20 (Notices), and any other clauses that by their nature should survive termination, shall survive the termination of this Agreement. We may retain your data post-termination as permitted by law.

15. GOVERNING LAW, JURISDICTION, AND DISPUTE RESOLUTION

  1. 15.1. This Agreement shall be governed by and construed in accordance with the laws of India.
  2. 15.2. Subject to Clause 15.3, any dispute, controversy, or claim arising out of or relating to this Agreement or the breach, termination, or invalidity thereof, shall be settled by arbitration in New Delhi, India in accordance with the provisions of the Arbitration and Conciliation Act, 1996 and any amendments thereto. The arbitral tribunal shall consist of a sole arbitrator appointed by HTDSL. The seat and venue of arbitration shall be New Delhi, India. The language of arbitration shall be English. The award of the arbitrator shall be final and binding upon the parties. Parties shall keep the arbitration confidential. Each party shall bear its own costs.
  3. 15.3. Notwithstanding Clause 15.2, You agree that any dispute arising between You and a Financial Institution regarding a financial product or service obtained through the Platform shall be resolved directly between You and the Financial Institution in accordance with their terms and conditions and applicable laws. HTDSL shall not be a party to such disputes.
  4. 15.4. Subject to the arbitration provision in Clause 15.2, the courts in New Delhi, India shall have exclusive jurisdiction to entertain any suit, application, or other proceeding arising out of or in connection with this Agreement.

16. WAIVER AND SEVERABILITY

  1. 16.1. The failure of HTDSL to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.
  2. 16.2. If any provision of this Agreement is held to be invalid, unlawful or unenforceable by a court of competent jurisdiction, the other provisions shall remain in full force and effect. If any unlawful or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed deleted, and the rest will continue in effect (unless contradicting clear intention).

17. ENTIRE AGREEMENT

  1. 17.1. This Agreement, along with the Privacy Policy and any referenced specific service terms (like CIC T&Cs) or policies, constitutes the entire agreement between You and HTDSL regarding Your use of the Platform and Services and supersedes all prior understandings.

18. ASSIGNMENT

  1. 18.1. You may not assign or transfer, licence, or sell Your rights or obligations under this Agreement without the prior written consent of HTDSL. HTDSL may grant or withhold consent in its sole discretion.
  2. 18.2. HTDSL may assign or transfer its rights and obligations under this Agreement (to any of its affiliates, subsidiaries, parent companies, or to any successor in interest) at any time without restriction or prior notice to you.

19. FORCE MAJEURE

  1. 19.1. HTDSL shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including, but not limited to, acts of God, wars, riots, embargos, acts of civil or military authorities, fires, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

20. NOTICES

  1. 20.1. Any notices, requests, demands, and determinations or other communications required or permitted by this Agreement (other than routine operational communications) shall be in writing and shall be deemed to have been duly given when delivered personally, sent by registered or certified mail, postage prepaid, return receipt requested, or sent by email to the addresses provided by the parties.

21. GRIEVANCE REDRESSAL MECHANISM

  1. 21.1. In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and other applicable laws, HTDSL has established a Grievance Redressal Mechanism. Any User questions or grievances can be directed to:

22. SPECIFIC TERMS FOR CREDIT INFORMATION SERVICES

By using the Credit Information Services, you agree that you have read, understood, and are bound by this Agreement and that you comply with the requirements listed herein below. If you do not agree to all of these terms or comply with the requirements herein, please do not access the website or the mobile application or use the Credit Information Services:

  1. 22.1. HTDSL facilitates Your access to Your credit information report(s) ("Credit Information Report") and Credit Score from Credit Information Companies ("CICs") as Your lawfully appointed agent / authorized representative.
  2. 22.2. By applying for credit information through the Platform and clicking the check box / "I accept" button, You appoint HTDSL as Your authorized representative on an ongoing basis to receive Your Credit Information Report and Credit Score.
  3. 22.3. This consent/authorization shall be valid for: (i) a period of 6 (six) months; or (ii) till such time the information is required to satisfy the Purpose; or (iii) until revocation of consent, whichever is earlier ("Permitted Time Period"). You direct the CIC to deliver/transfer Your Credit Information to HTDSL on Your behalf.
  4. 22.4. Purpose: You acknowledge and agree HTDSL shall access, use, analyze, aggregate, and retain Your Credit Information Report and Score ("Credit Information") for the following purposes ("Purpose"):
    1. To provide You access to Your Credit Information (including any changes) on the Platform.
    2. To provide You with analysis, insights, or educational content based on Your Credit Information (for informational purposes only; not financial/credit advice).
    3. To provide You with, or recommend, other products/services You may be interested in.
    4. To take related actions required for the above.
    HTDSL may, based on your Credit Information and Score, show you offers for financial products and services.
  5. 22.5. You acknowledge the Credit Information Report is provided by the CICs, and HTDSL is not responsible for the accuracy, completeness, or correctness of the information therein. The Service is for informational purposes. HTDSL does not control Your Credit Information Report/Score.
  6. 22.6. Any disputes regarding the Credit Information Report must be raised directly with the respective CIC.
  7. 22.7. Your use of Credit Information Services is also subject to the terms and conditions and privacy policy of the relevant CIC ("CIC T&Cs"), in addition to this Agreement and HTDSL's Privacy Policy. You acknowledge receipt of the CIC privacy policy and agree to its terms, which may be included as a separate linkannexure to this Agreement.
  8. 22.8. You agree that HTDSL may store and process Your Credit Information Report and related data in accordance with applicable laws and Our Privacy Policy for the Permitted Time Period. Upon completion of the Permitted Time Period or consent revocation, HTDSL shall promptly destroy, purge, and erase the Credit Information.
  9. 22.9. You understand that accessing Your credit information report through HTDSL may be considered a "soft inquiry" or "hard inquiry" depending on the CIC and the nature of the request, and this may impact Your credit score. HTDSL is not liable for any impact on Your credit score.
  10. 22.10. HTDSL may provide You with analysis, insights, or educational content based on Your Credit Information report, but this is for informational purposes only and does not constitute financial or credit advice. The methodology used to present offers/analysis is proprietary.
  11. 22.11. You agree not to misuse the credit information report or share it with unauthorized parties. Use is for personal consumption only unless specified.
  12. 22.12. Indemnity: You agree to indemnify the HTDSL Parties as per Clause 11 against Losses arising from Your use of the Credit Information Services, provision of inaccurate information, or breach of this Clause 22. You also agree to indemnify the relevant CIC as per their terms.
  13. 22.13. Limitation of Liability: HTDSL's liability related to Credit Information Services is limited as per Clause 10. HTDSL shall not be liable for any errors or inaccuracies in the credit information report provided by CICs. You shall not hold the CIC responsible or liable for loss/damage related to: (a) delivery of Your information to HTDSL; (b) any use, modification, or disclosure by HTDSL authorised by You; (c) any breach of confidentiality in relation to delivery. You irrevocably release the CIC from liabilities related to submission/delivery of Your information.
  14. 22.14. HTDSL is providing you this service free of charge, however, HTDSL reserves right to charge later.
  15. 22.15. You may be required to complete additional authentication steps as mandated by the CICs to access Your credit information report. You authorize HTDSL to obtain information solely to confirm identity and display it to You.
  16. 22.16. You acknowledge that the frequency with which You can access Your free credit information report may be subject to regulations and the policies of the CICs.
  17. 22.17. HTDSL does not guarantee that it can obtain Your credit information report from all CICs or in all circumstances. Processing may fail if particulars furnished do not match CIC records.
  18. 22.18. Notices: Any notices related to Credit Information Services should follow the procedure in Clause 20.
  19. 22.19. Governing Clause: This Clause 22 governs the Credit Information Services and prevails over general clauses where specifically conflicting, subject always to Clause 15 for disputes between You and HTDSL regarding facilitation.
  20. 22.20. Grievance Redressal: Grievances related to Credit Information Services facilitation by HTDSL can be raised through the mechanism in Clause 21. For issues with the Credit Information itself, contact the CIC directly.
  21. 22.21. Third-Party Services: HTDSL partners with CICs (Third Party Service Providers). HTDSL is not responsible for inability to render services due to CIC actions/inactions.
  22. 22.22. Voluntary Use: You avail the Credit Information Services voluntarily. HTDSL has made no promises to induce Your consent. HTDSL is not liable for loss resulting from availing the service. Display of the report does not imply endorsement or verification by HTDSL.
  23. 22.23 In connection with submission of the application for Your credit information ("Consumer Credit Information") offered by CRIF High Mark Credit Information Services Pvt. Ltd. ("CRIF") through HTDS and delivery of the Consumer Credit Information to HTDS, You hereby expressly consent to CRIF High Mark – Credit Score Terms of Use appended as Annexure 1 to this Policy.

23. SPECIFIC TERMS FOR LOAN FACILITATION SERVICES

  1. 23.1. HTDSL acts as an intermediary to facilitate Your applications for various loan products offered by Financial Institutions ("Lending Partners").
  2. 23.2. HTDSL does not provide loans directly. The decision to approve or reject a loan application, the loan amount, interest rate, tenure, and all other terms and conditions are solely determined by the Lending Partner.
  3. 23.3. By applying for a loan through the Platform, You authorize HTDSL to share Your information (including Transaction Information collected per Privacy Policy) with Lending Partners to process Your application, facilitate credit checks, and evaluate eligibility as per Clause 12.
  4. 23.4. Your loan application and any resulting loan agreement will be subject to the terms and conditions and privacy policy of the respective Lending Partner, in addition to this Agreement and HTDSL's Privacy Policy.
  5. 23.5. HTDSL does not guarantee the approval of any loan application or the disbursement of any loan.
  6. 23.6. HTDSL may display information about various loan products on the Platform, including eligibility criteria, interest rates, and fees. This information is provided by the Lending Partners, and HTDSL does not guarantee its accuracy or completeness. It is Your responsibility to verify the details with the Lending Partner before applying.
  7. 23.7. You acknowledge that HTDSL may receive fees or commissions from Lending Partners for facilitating loan applications.
  8. 23.8. NACH Mandate: Should you avail a Credit Facility, you may be required to create a NACH mandate. Grant of facility may be conditional on this mandate. Cancelling the mandate while facility is outstanding requires providing an acceptable alternate repayment instrument.
  9. 23.9. Indemnity: You agree to indemnify the HTDSL Parties as per Clause 11 against Losses arising from Your use of the Loan Facilitation Services, provision of inaccurate information, or breach of this Clause 23.
  10. 23.10. Limitation of Liability: HTDSL's liability related to Loan Facilitation Services is limited as per Clause 10. HTDSL shall not be liable for any aspect of the loan product or the relationship between You and the Lending Partner.
  11. 23.11. Any disputes regarding the loan products and allied services must be raised directly with the respective Lending Partner.
  12. 23.12 Termination: Termination of Your HTDSL User Profile (as per Clause 14) does not affect or extinguish Your obligations under any loan agreement entered into with a Lending Partner.
  13. 23.13. Governing Clause: This Clause 23 governs the Loan Facilitation Services and prevails over general clauses where specifically conflicting, subject always to Clause 15 for disputes between You and HTDSL regarding facilitation.

24. SPECIFIC TERMS FOR CREDIT CARD FACILITATION SERVICES

  1. 24.1. HTDSL acts as an intermediary to facilitate Your applications for various credit card products offered by Financial Institutions ("Card Partners").
  2. 24.2. HTDSL does not issue credit cards directly. The decision to approve or reject a credit card application, the credit limit, interest rate, fees, and all other terms and conditions are solely determined by the Card Partner.
  3. 24.3. By applying for a credit card through the Platform, You authorize HTDSL to share Your information with Card Partners to process Your application as per Clause 12.
  4. 24.4. Your credit card application and any resulting credit card agreement will be subject to the terms and conditions and privacy policy of the respective Card Partner, in addition to this Agreement and HTDSL's Privacy Policy.
  5. 24.5. HTDSL does not guarantee the approval of any credit card application or the issuance of any credit card.
  6. 24.6. HTDSL may display information about various credit card products on the Platform, including eligibility criteria, features, interest rates, and fees. This information is provided by the Card Partners, and HTDSL does not guarantee its accuracy or completeness. It is Your responsibility to verify the details with the Card Partner before applying.
  7. 24.7. You acknowledge that HTDSL may receive fees or commissions from Card Partners for facilitating credit card applications.
  8. 24.8. Indemnity: You agree to indemnify the HTDSL Parties as per Clause 11 against Losses arising from Your use of the Credit Card Facilitation Services, provision of inaccurate information, or breach of this Clause 24.
  9. 24.9. Limitation of Liability: HTDSL's liability related to Credit Card Facilitation Services is limited as per Clause 10. HTDSL shall not be liable for any aspect of the credit card product or the relationship between You and the Card Partner.
  10. 24.10. Any disputes regarding the credit card facilitation services must be raised directly with the respective Credit Card Partner.
  11. 24.11 Termination: Termination of Your HTDSL User Profile (as per Clause 14) does not affect Your obligations under any credit card agreement entered into with a Card Partner.
  12. 24.12. Governing Clause: This Clause 24 governs the Credit Card Facilitation Services and prevails over general clauses where specifically conflicting, subject always to Clause 15 for disputes between You and HTDSL regarding facilitation.

25. SPECIFIC TERMS FOR INSURANCE PRODUCTS FACILITATION

  1. 25.1. HTDSL acts as an intermediary to facilitate Your exploration and potential application for various insurance products offered by Financial Institutions ("Insurance Partners").
  2. 25.2. HTDSL is not an insurance company or an insurance agent. The decision to issue an insurance policy and all terms and conditions of the policy are solely determined by the Insurance Partner.
  3. 25.3. By applying for insurance through the Platform, You authorize HTDSL to share Your information with Insurance Partners to process Your application as per Clause 12.
  4. 25.4. Your insurance application and any resulting insurance policy will be subject to the terms and conditions and privacy policy of the respective Insurance Partner, in addition to this Agreement and HTDSL's Privacy Policy.
  5. 25.5. HTDSL does not guarantee the issuance of any insurance policy.
  6. 25.6. HTDSL may display information about various insurance products on the Platform, including coverage details, premiums, and terms. This information is provided by the Insurance Partners, and HTDSL does not guarantee its accuracy or completeness. It is Your responsibility to verify the details with the Insurance Partner before applying.
  7. 25.7. You acknowledge that HTDSL may receive fees or commissions from Insurance Partners for facilitating insurance applications.
  8. 25.8. Indemnity: You agree to indemnify the HTDSL Parties as per Clause 11 against Losses arising from Your use of the Insurance Products Facilitation Services, provision of inaccurate information, or breach of this Clause 25.
  9. 25.9. Limitation of Liability: HTDSL's liability related to Insurance Products Facilitation Services is limited as per Clause 10. HTDSL shall not be liable for any aspect of the insurance product or the relationship between You and the Insurance Partner.
  10. 25.10. Any disputes regarding the insurance products facilitation must be raised directly with the respective Insurance Partner.
  11. 25.11 Termination: Termination of Your HTDSL User Profile (as per Clause 14) does not affect Your obligations under any insurance policy entered into with an Insurance Partner.
  12. 25.12. Governing Clause: This Clause 25 governs the Insurance Products Facilitation and prevails over general clauses where specifically conflicting, subject always to Clause 15 for disputes between You and HTDSL regarding facilitation.

26. SPECIFIC TERMS FOR INVESTMENT PRODUCTS FACILITATION

  1. 26.1. HTDSL acts as an intermediary to facilitate Your exploration and potential application for various investment products offered by Financial Institutions ("Investment Partners"), which may include Asset Management Companies (AMCs) or other regulated entities.
  2. 26.2. HTDSL is not an investment advisor or a registered broker-dealer. Any information on the Platform regarding investment products is for informational purposes only and does not constitute investment advice or a recommendation to buy or sell any securities.
  3. 26.3. By applying for investment products through the Platform, You authorize HTDSL to share Your information with Investment Partners and their registered intermediaries, such as Registrar and Transfer Agents (RTAs), to process Your application as per Clause 12.
  4. 26.4. Your investment application and any resulting investments will be subject to the terms and conditions, scheme information documents, and privacy policy of the respective Investment Partner and RTA, in addition to this Agreement and HTDSL's Privacy Policy.
  5. 26.5. HTDSL does not guarantee any investment returns or the performance of any investment product. Investing in securities involves risks, and You should read all offer documents carefully before investing.
  6. 26.6. HTDSL may display information about various investment products on the Platform, including historical performance, fund objectives, and fees. This information is provided by the Investment Partners or publicly available sources, and HTDSL does not guarantee its accuracy or completeness. It is Your responsibility to verify the details with the Investment Partner or a qualified financial advisor before investing.
  7. 26.7. Transactions in investment products facilitated through the Platform are executed on the systems or transaction platforms of the Investment Partners, RTAs, or transaction platforms. These transactions are subject to the terms and conditions of those third parties, in addition to this Agreement. HTDSL is not liable for delays, errors, or failures in transaction processing by these third parties.
  8. 26.8. Disclaimers: HTDSL disclaims all liability related to Your investment decisions, the performance of Your investments, transaction processing errors by third parties, or any disputes between You and an Investment Partner, RTA, or transaction platform.
  9. 26.9. Indemnity: You agree to indemnify the HTDSL Parties as per Clause 11 against Losses arising from Your use of the Investment Facilitation Services, provision of inaccurate information, investment decisions made by You, or breach of this Clause 26.
  10. 26.10. Limitation of Liability: HTDSL's liability related to Investment Facilitation Services is limited as per Clause 10. HTDSL shall not be liable for any investment losses You may incur.
  11. 26.11. Any disputes regarding the investment products facilitation must be raised directly with the respective Investment Partner.
  12. 26.12. Termination: Termination of Your HTDSL User Profile (as per Clause 14) does not affect Your holdings or obligations related to investments made through Investment Partners facilitated via the Platform. You will need to manage such investments directly with the Investment Partner or RTA thereafter.
  13. 26.13. Governing Clause: This Clause 26 governs the Investment Facilitation Services and prevails over general clauses where specifically conflicting, subject always to Clause 15 for disputes between You and HTDSL regarding facilitation.

27. MISCELLANEOUS PROVISIONS

  1. 27.1. Third Party Rights: No third party shall have any rights to enforce the Terms contained herein, except where explicitly stated otherwise (e.g., indemnity provisions).
  2. 27.2. Translations: We may provide translated versions solely to assist understanding. The English version shall be controlling. In case of inconsistency, the English version prevails.

ANNEXURE A

CRIF High Mark - Credit Score Terms of Use

In connection with submission of the application for my credit information ("Consumer Credit Information") offered by CRIF High Mark Credit Information Services Pvt. Ltd. ("CIC") through HT Digital Streams Limited (referred to as the "Company") and delivery of the Consumer Credit Information to the Company, I hereby acknowledge and agree to the following:

  1. The Company is my lawfully appointed agent, and he / it has agreed to be my agent obtain my Credit Information Report and Credit Score from CRIF High Mark Credit Information Services Pvt. Ltd (CRIF High Mark) for the purpose of rendering financial services such as but not limited to loans, credit cards, insurance, investment products etc ("Purpose") and not for any other purposes.
  2. This consent shall be valid for a maximum period of 6 months or till such time the credit information is required to be retained to satisfy the Purpose for which it was intended, or I withdraw my consent at any time, by informing the same to the Company, at their registered office address, website, assigned email id or mobile application, whichever is earlier.
  3. I further authorize the Company to share with CICs, my personal information/details to procure my Credit Information on a monthly frequency and use the same to provide me with the said service.
  4. I confirm that this consent is given by my free will and not due to any solicitation by any person/entity.
  5. I hereby expressly grant unconditional consent to, and direct, CIC to deliver and / or transfer my Consumer Credit Information to the Company on my behalf.
  6. I shall not hold CIC responsible or liable for any loss, claim, liability, or damage of any kind resulting from, arising out of, or in any way related to: (a) delivery of my Consumer Credit Information to the Company; (b) any use, modification or disclosure by the Company of the contents, in whole or in part, of my Consumer Credit Information, wherever authorized by me; (c) any breach of confidentiality or privacy in relation to delivery of my Consumer Credit Information to the Company;
  7. I acknowledge and accept that: (a) CIC has not made any promises or representations to me in order to induce me to provide my Consumer Credit Information or seek any consent or authorization in this regard; and (b) the implementation of the Agreement between CIC and the Company is solely the responsibility of the Company.
  8. I agree that I may be required to record my consent / provide instructions electronically or physically as the case may be, and in all such cases I understand that by clicking on the "I Accept" button below or signing this Consent physically, I am providing "written instructions" to the Company authorizing Company to obtain my Consumer Credit Information from my personal credit profile from CRIF High Mark. I further authorize the Company to obtain such information to confirm my identity and display my Consumer Credit Information to me. Further in all such cases by checking this box and clicking on the Authorize button or signing this Consent physically, I agree to the terms and conditions, acknowledge receipt of CIC privacy policy and agree to its terms, and confirm my authorization for Company to obtain my Consumer Credit Information.
  9. I understand that in order to deliver the Credit Information Report and Credit Score to me, I hereby authorize the Company to obtain my Consumer Credit Information from CIC.
  10. By submitting this registration form, I understand that I am providing express written instructions for the Company to request and receive a copy of my consumer credit report and score from CIC.
  11. I understand that the Credit Information Report and Credit Score is provided on an "as-is", "as available" basis and CIC expressly disclaims all warranties, including the warranties of merchantability, fitness for a particular purpose, and non-infringement.
  12. I shall not sue or otherwise make or present any demand or claim, and I irrevocably, unconditionally and entirely release, waive and forever discharge CIC, its officers, directors, employees, agents, licensees, affiliates, successors and assigns, jointly and individually (hereinafter "Releasee"), from any and all manner of liabilities, claims, demands, losses, claims, suits, costs and expenses (including court costs and reasonable attorney fees) ("Losses"), whatsoever, in law or equity, whether known or unknown, which I ever had, now have, or in the future may have against the Releasee with respect to the submission of my Consumer Credit Information and / or my decision to provide CIC with the authority to deliver my Consumer Credit Information to the Company. I agree to defend, indemnify, and hold harmless the Releasee from and against any and all losses resulting from claims made against CIC by third parties arising from and in connection with this letter.
  13. I agree that the terms of this confirmation letter shall be governed by the laws of India and shall be subject to the exclusive jurisdiction of the courts located in Mumbai in regard to any dispute arising hereof.
